Job Description

OBJECTIVES/PURPOSE:

  • Provide legal support and technical expertise to designated corporate functions including Global Business Development, Finance, Tax, Treasury, Equity Compensation and Corporate Communications as it relates to SEC and NYSE compliance for Foreign Private Issuers.
  • Provide legal support on corporate governance matters for Takeda affiliates primarily located in the US, and ex-US as well.
  • Provide counsel on advertising and promotion materials, labeling and other brand related activities, including ensuring proposed advertising and promotional materials are consistent with product labeling and are of quality and compliance with FDA regulations, guidance and internal policies and procedures.
  • Provide legal support on business development transactions, including mergers, acquisitions, divestitures, licensing and collaborations, and venture investing.  This includes support of due diligence, transaction negotiation and drafting, and ongoing post-closing legal support, as needed. 
  • Advise clients regarding legal and commercial risks impacting Takeda, and effectively advise how best to manage those risks.

SCOPE:

  • It is intended that this role will serve as a key member of a team that supports all SEC and NYSE requirements relating to Takeda as a Foreign Private Issuer, including providing input and support regarding disclosure requirements and activities ex-US (e.g., Japan, Germany, Singapore, Canada).  
  • In addition, this role will include responsibility for supporting compliance efforts related to advertising and promotional materials, as well as supporting business development (M&A, Licensing, other) and corporate governance activities primarily in the U.S., and ex-US as well.

ACCOUNTABILITIES:

  • Provide legal support and technical expertise to designated corporate functions including Global Business Development, Finance, Tax, Treasury, Equity Compensation and Corporate Communications as it relates to SEC and NYSE compliance for Foreign Private Issuers. 
  • Provide securities law advice to key stakeholders in the US and ex-US, and ensure all filings are made with the SEC and NYSE in accordance with legal requirements.  
  • Provide legal support to corporate functions regarding filings made or to be made in Japan and other jurisdictions (e.g., Singapore, Germany, Canada), and coordinate closely with Takeda Legal in Japan regarding such issues.
  • Provide legal support on corporate governance matters for Takeda affiliates located primarily in the US, and ex-US as well.
  • Provide counsel on advertising and promotion materials, labeling and other brand related activities, including ensuring proposed advertising and promotional materials are consistent with product labeling and are of quality and compliance with FDA regulations, guidance and internal policies and procedures.
  • Provide legal support on business development transactions, including mergers, acquisitions, divestitures, licensing and collaborations, and venture investing, including in support of due diligence, transaction negotiation and drafting, and ongoing post-closing legal support, as needed.
  • Advise executive management regarding material legal issues, including through the preparation of corporate governance materials and presentations. 
  • Advise clients regarding legal and commercial risks impacting Takeda, and effectively advise how best to manage those risks.
  • Closely collaborate and advise other members of the Global General Counsel regarding legal issues, as needed.  

EDUCATION, BEHAVIOURAL COMPETENCIES AND SKILLS: 

  • High academic achievement in the study of law.
  • Lawyer licensed to practice law in the US.
  • At least 5 years of practicing at a pharmaceutical, biotechnology, medical device or highly regarded US legal practice.
  • Must have experience in advising on corporate matters, including M&A, licensing and other business development matters.
  • Must have significant expertise in advising on US securities and disclosure laws.
  • Experience in advising on advertising, marketing and promotion matters is strongly preferred, but not required.
  • Must be able to work autonomously and have excellent communication, collaboration and client-relation skills.
  • Must have the ability to provide legal advice clearly and confidently, have strong commercial instincts and the ability to quickly win the confidence and trust of the functions the role supports.
  • In-house legal experience is strongly preferred, but not required.
  • Pharmaceutical experience is strongly preferred, but not required.
