Job Description
Responsibilities & Accountabilities:
- Values & Ethical Leadership: Act as a role model for Takeda's values and ethical decision-making, embedding this mindset across all stakeholders (clients, partners, teams) to support priorities of Patient, Trust, Reputation, and Business.
- Strategic E&C Program Oversight: Strategically lead and oversee the delivery of the Ethics and Compliance (E&C) program in Ukraine, ensuring alignment and integration with Regional and Global E&C objectives.
- Leadership and Governance: Establishing a strong tone at the top and ensuring that leaders are committed to ethical behavior and compliance, chairing the Risk Ethics & Compliance Committee and managing resource allocation (e.g., team and budget) for the E&C function.
- Risk Assessment: Identifying and assessing compliance risks to prioritize resources and efforts effectively and partnering with the business to identify, assess and mitigate risks on new or emerging business activities and strategies. Provide strategic oversight of compliance risks related to third-party interactions, ensuring robust due diligence, risk assessments, and effective mitigation plans.
- Policies and Procedures: Developing and implementing clear policies and procedures that guide ethical behavior and compliance.
- Training and Communication: Providing regular training and effective communication to ensure that employees understand their ethical and compliance responsibilities.
- Monitoring and Auditing: Implementing systems to monitor compliance and conducting regular audits to detect and prevent misconduct.
- Reporting and Investigation: Reporting misconduct and conducting thorough investigations when issues arise. The Head of E&C is expected to report, in a timely manner, to their GEM E&C Leader on: Any allegations, issues or concerns raised internally or externally and Status of any investigations being conducted
- Enforcement and Discipline: Ensuring that violations are addressed promptly and consistently, with appropriate disciplinary actions.
- Escalation Governance: In situations where there is misalignment, topics should be escalated to the next level of the Business and E&C to seek resolution.
- Response and Prevention: Taking corrective actions to address identified issues and implementing measures to prevent future occurrences. Regularly reviewing and improving the Ethics & Compliance program to adapt to changing risks and regulatory requirements.
- Transparency & Regulatory Reporting: Oversee accuracy, completeness, timeliness, and compliance of regulatory transparency reporting, disclosures, and other mandatory reporting requirements.
- Compliance Systems & Technology: Oversee the strategic management, effectiveness, and continuous improvement of compliance-related systems, tools, and applications, leveraging innovative solutions and analytics. Regulatory Intelligence & Proactive Risk Management: Strategically anticipate, identify, and proactively respond to regulatory changes and emerging compliance risks, ensuring preparedness and adaptive compliance strategies.
- Compliance Metrics & Reporting: Define, track, report, and communicate comprehensive compliance KPIs and metrics to senior leadership and global stakeholders to drive continuous program improvement and compliance maturity.

- Leading with integrity, building engagement and creating a safe space for team members to be their authentic selves, do their best work and speak up when they have ideas or concerns.
- Educating and enabling the team (e.g., through Policy and SOP implementation, Training and Communications).
- Managing risk by supporting identification, assessing likelihood and impact, facilitating risk tolerance decisions, approving migaon plans for high-risk activities and executing the monitoring.
- Handling issues that arise (e.g., from audits or complaints), conducting investigations and ensuring remediations are well implemented.
- Representing Takeda externally by participating in relevant local industry association meetings and initiatives, contacting with key stakeholders (HCP, HCA etc.) to be aware about issues, requirements in the field.
Qualifications & Capabilities:
Qualifications:
Education: Bachelor’s degree (BSc/BA) in Law, Finance, Business Administration, or a related field; an advanced degree is preferred.
Industry Experience: Minimum of 7 years proven experience in Healthcare Ethics & Compliance within the pharmaceutical, diagnostic, or medical device industry.
Language Skills: Fluent proficiency in Ukrainian and English (spoken and written).Emerging Markets & Cultural Awareness: Proven experience working across emerging markets with diverse cultures, regulatory environments, and legal frameworks.
Leadership & Influence: Demonstrated ability to lead, influence, and build strong relationships within diverse, multicultural teams and stakeholders.
Regulatory & Industry Knowledge: Deep knowledge of relevant laws, regulations, compliance frameworks, and industry best practices (e.g., Anti-Bribery & Corruption, Privacy, Sanctions, Anti-trust). Ability and lead and influence external stakeholders, industry rules by engaging with external industry associations and bring best practices into Takeda E&C strategy. Know the IFPMA, PhRMA, EFPIA and other relevant Codes of Practice including any local industry codes.
Risk Management Experience: Understanding different angle of business and actively detect ethical and compliance risk by engaging with different functions. Demonstrated excellence in verbal and written communication skills, effectively articulating complex compliance topics clearly to diverse audiences.
Ethical Decision-Making: Proven track record of applying ethical decision-making frameworks to complex business situations and innovative initiatives. Understand the key culture concept and the impact of speak up, phycological safety.
Strategic & Crisis Management: Demonstrated strategic compliance oversight, including crisis management, regulatory intelligence, and proactive adaptation to regulatory changes.Technology & Innovation: Experience leveraging technology-driven compliance solutions, analytics, and innovative tools (including AI tools) to proactively identify trends and enhance compliance effectiveness.
